General Provisions

  1. The Online Store available at www.vibeuu.store is operated by Vibeuu P.S.A with its registered office in Kielce, Poland (registered office address: UL. KAROLA OLSZEWSKIEGO 6), entered into the Register of Entrepreneurs of the National Court Register under KRS number 0001176782; the registration court where the company’s documentation is kept: District Court …………….. in …………., …………….. Commercial Division of the National Court Register; share capital: 10000 PLN; NIP: 9592083466; REGON: 541934755, e-mail: store@vibeuu.com
  2. The Online Store conducts sales to Entrepreneurs within the territory of the Republic of Poland and EU countries.
  3. These Terms and Conditions are addressed exclusively to Entrepreneurs using the Online Store.
  4. Only Entrepreneurs may use the Online Store.
  5. For the purposes of these Terms and Conditions, the following definitions apply:
    1. BUSINESS DAY – a day from Monday to Friday excluding public holidays in Poland;
    2. CONTACT FORM – a form available in the Online Store enabling contact with the Seller;
    3. CUSTOMER – an Entrepreneur who has concluded or intends to conclude a Sales Agreement with the Seller;
    4. PRODUCT – goods (movable item) available in the Online Store constituting the subject of the Sales Agreement between the Customer and the Seller;
    5. ENTREPRENEUR – a domestic or foreign Customer being a natural person, legal entity, or organizational unit without legal personality granted legal capacity by law, conducting business activity, as well as another legal entity or organizational unit without legal personality. In the case of a natural person conducting business activity, concluding a Sales Agreement within the Online Store may occur only if the Sales Agreement is related to that person’s professional activity;
    6. TERMS AND CONDITIONS – these Terms and Conditions of the Online Store;
    7. ONLINE STORE – the Seller’s online store available at: www.vibeuu.store
    8. SELLER – Vibeuu P.S.A. with its registered office in Kielce, as described in point 1.1;
    9. SALES AGREEMENT – a sales agreement concluded between the Customer and the Seller through the Online Store upon confirmation of acceptance of the order for processing sent by the Seller to the e-mail address provided by the Customer;
    10. ORDER – a declaration of intent made by the Customer by selecting the option “place order and pay” regarding each Product in the Customer’s cart, constituting an offer to conclude a Sales Agreement.

Electronic Services in the Online Store

  1. The following services are available: Account, Order Form, Marketing Communication.
  2. Account – a free service provided for an indefinite period, consisting of a collection of resources in the Seller’s IT system identified by an individual login and password, where Customer data and Order history are stored.
    The Account may be created by:

    • completing the registration form;
    • clicking “Register account”.

    The Customer may resign from the Account service at any time, except during Order processing.

  3. Order Form – a free one-time service enabling the placement of an Order, including adding Products to the cart and specifying delivery and payment terms.
    To place an Order, the Customer must:

    1. complete the form;
    2. click “place order and pay”.

    The Customer must provide company details (including company name and VAT ID), selected Products, quantity, delivery method and payment method.

  4. Marketing Communication – a free service allowing Customers to receive marketing information about Products, news and promotions after giving consent. The Customer may withdraw consent at any time.
  5. Technical requirements:
    • device with Internet access and operating system not older than 3 years;
    • access to e-mail;
    • updated web browser;
    • enabled Cookies and JavaScript.
  6. The Customer must use the Store in accordance with the law and good practices.
  7. Complaints regarding Store operation may be submitted in writing or electronically. The Seller responds within 14 calendar days.
  8. The Seller may block or restrict access to services at any time without providing reasons.

Conditions for Concluding a Sales Agreement

  1. Product descriptions constitute an invitation to conclude a contract under Article 71 of the Polish Civil Code, not an offer under Article 66.
  2. Before placing an Order, the Customer must read the Terms and Conditions and Privacy Policy.
  3. After placing an Order, the Customer receives confirmation of receipt. The Sales Agreement is concluded upon confirmation of acceptance for processing. Each Product constitutes a separate Sales Agreement. The Seller has 7 days to confirm acceptance.
  4. If the Seller does not confirm acceptance, the Agreement is not concluded and payments are refunded using the same method. Currency conversion costs are borne by the Customer.
  5. Prices are in PLN and include VAT. The total price including delivery costs is displayed before order confirmation.
  6. Payment operators may impose currency requirements; conversion costs are borne by the Customer.
  7. The Seller may correct obvious clerical errors.

Payment Methods and Deadlines

  1. Available payment methods:
    • bank transfer;
    • electronic payments or card payments via online operators.
  2. In case of payment delays, the Seller may suspend order processing.
  3. Orders are processed only after 100% prepayment. Failure to pay results in cancellation.

Delivery

  1. Delivery is possible only within Poland.
  2. Delivery costs are indicated during the Order process.
  3. Delivery methods:
    • courier/shipping company;
    • personal collection;
    • parcel locker or pickup point;
    • other available methods.
  4. Estimated shipping time is indicated on the Product page.
  5. Shipment status marked as delivered/collected equals acceptance without reservations.
  6. Risk transfers to the Entrepreneur upon handing over the Product to the carrier.
  7. Warranty liability (statutory warranty for defects) is excluded under Article 558 §1 of the Civil Code.
  8. Seller’s liability is limited to the paid price and delivery costs, not exceeding PLN 1,000. No liability for lost profits.
  9. The Seller may withdraw from the Sales Agreement within 14 days without giving reasons.
  10. Force majeure provisions apply; liability for delays caused by force majeure is excluded.

Personal Data

  1. The Seller is the data controller.
  2. Data is processed for Account service, order fulfillment, sales agreement and marketing purposes.
  3. Providing data is voluntary but necessary.
  4. Data subjects have rights to access, rectify, delete, restrict, transfer data, withdraw consent and lodge complaints.
  5. Detailed provisions are included in the Privacy Policy.

Final Provisions

  1. The Seller does not provide its own warranty; manufacturer’s warranty applies if granted.
  2. Agreements are concluded in Polish and governed by Polish law. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
  3. Disputes are resolved by the court competent for the Seller’s registered office.
  4. Copying Store data is prohibited except for contract performance.
  5. The Seller may amend the Terms and Conditions for valid reasons (legal changes, payment methods, technical changes, correction of errors, etc.). Changes do not affect acquired rights.
  6. Polish law applies to matters not regulated herein.
